Roberto Mazzarano mainly deals with structured finance transactions, derivatives and banking law. He takes part in securitisation transactions of different asset-class (RMBS, CMBS, consumer loan receivables, assignment of the fifth of salary/pension, trade receivables, basket bonds, NPLs) as well as STS-compliant and SRT-compliant securitisation transactions. He has advised several banks in the structuring and implementation of their securitisation platforms for the syndication of receivables arising from the loans disbursement and/or undrawn commitment in favour of institutional investors via securitisation. He has significant knowledge in “direct lending” securitisation transactions and connected matters related to the required “domestic” retention rule (aslo in the context of acquisition financing promoted by large private- equity and investment companies acting as sponsor). He is involved in several covered bond issuance programmes and business credit transfer transactions, assisting investment banks, financial institutions and rating agencies. Roberto is regularly involved in drafting and negotiation of hedging contracts and assists banks and financial intermediaries on regulatory matters related to banking and financial law.
