Eight new promotions in Legance: four new Partners and four Senior Counsel

Milan, 24 June 2020 – Legance – Avvocati Associati appoints 4 new Partners and 4 new Senior Counsel.

With the new appointments of Tommaso Bernasconi, Andrea Botti, Iacopo Fontana and Antonio Palazzolo, the number of Partners rises to 44. The number of Senior Counsel reaches 20, after the promotion of Francesca Brilli, Roberto Mazzarano, Alessandra Palatini and Marco Sagliocca.

Tommaso Bernasconi regularly assists multinationals, investment banks and financial institutions in relation to acquisitions and financing for acquisitions, restructuring, real estate financing, financing for takeover bids, debt capital market and structured finance, in the most important economic sectors, such as corporate, energy, industrial and banking. He also has significant experience in important high and structured finance transactions, some of which involved innovative structures, as well as in the single name UTP and NPL markets, and in the trading of debt instruments in the secondary market. Tommaso has also developed an important expertise in pre-insolvency restructuring agreements, compositions with creditors and debt restructuring transactions in general.

Andrea Botti deals with mergers and demergers, acquisitions and divestitures, joint ventures and corporate reorganisations. He assists Italian and foreign companies (listed and unlisted), investment funds, managers and entrepreneurs operating in various industries. He has gained significant experience in drafting and negotiating share purchase agreements, investment agreements, shareholders’ agreements and other commercial contracts.

Iacopo Fontana deals with banking and financial law, mergers and acquisitions, corporate law, shipping law, real estate and structured finance. He regularly assists leading companies and financial institutions, private equity funds and investment banks in debt restructuring transactions (including bankruptcy proceedings), distressed M&A, structured finance, real estate financing,project financing and capital markets transactions. Iacopo has also developed extensive experience in the shipping sector.

Antonio Palazzolo has over 15 years of experience in M&A and project finance in the renewable energy and infrastructure sectors. He regularly assists leading national and international operators, investment funds, investment banks and financial institutions in all phases of these deals (drafting and negotiation of project development and acquisition agreements, investment agreements, shareholders’ agreements, financing contracts and related finance documentation, construction and operation concessions, project contracts and commercial contracts), providing specific expertise also in the regulatory field.

Francesca Brilli has significant experience in the infrastructure and energy sectors as well as in banking and financial transactions. In the infrastructure sector she has assisted on transport (motorways, light rail transport and local public transport) and strategic infrastructures, such as interconnectors and hospitals, while in the energy sector she has been involved in transactions regarding renewable energy plants, such as wind, photovoltaic, hydroelectric, biomass, biogas and biomethane plants with a focus on new technologies. Francesca regularly assists leading national and international operators, investment banks and financial institutions in all phases of these transactions (development and acquisition of projects, participation in tenders, due diligence activities, drafting and negotiation of construction and other project contracts and finance documentation), providing outstanding expertise both in M&A and in the structuring of complex financing, refinancing and acquisition financing transactions.

Roberto Mazzarano focuses on structured finance transactions, derivatives and banking law. He has taken part in numerous credit securitisation transactions involving various types of asset classes, covered bank bond issuance programs and business credit transfer transactions, assisting investment banks, financial institutions and rating agencies. He is regularly involved in the drafting and negotiation of derivative contracts and advises banks and financial intermediaries on regulatory matters related to banking and financial law.

Alessandra Palatini is part of the administrative law department, dealing with town planning and construction, public contracts and food law, assisting national and international clients, also before the administrative courts. In the field of town planning and construction, she provides advice on transactions related to the construction, management, purchase and sale of shopping centres and offices, logistics and industrial complexes, residential buildings, accommodation facilities, tourist villages, and energy production plants. An expert in administrative law and particularly in town planning law, building and expropriation law, environmental law and energy law, Alessandra has gained broad experience in administrative authorisation procedures and in real estate contracts. In the context of public contracts, she provides assistance both to awarding entities and to operators participating in public procedures for the award of contracts and public concessions. Alessandra has gained outstanding expertise in food law, dealing with food safety, quality and safety standards and procedures, food labelling and marketing, including consumer protection and information. She has assisted numerous clients in the launch of foreign food products on the Italian market, ensuring compliance with national and European legislation.

Marco Sagliocca advises and assists Italian and foreign clients on corporate and financial market law, with a focus on extraordinary transactions and takeover bids concerning listed issuers.
