New appointments at Legance: 5 new Partners and 5 new Senior Counsel

Milan, 21 June 2021 – Legance – Avvocati Associati appoints 5 Partners and 5 Senior Counsel.

With the appointment of Francesco Florio, Giacomo Gitti, Marco Iannò, Monica Riva, and Antonio Siciliano, the number of Partners has risen to 50. The number of Senior Counsel has increased to 20 following the promotion of Simone Ambrogi, Marialuisa Garavelli, Valerio Mosca, Giovanna Russo, and Valeria Viti.

Francesco Florio specialises in private equityand M&A and, in general, on extraordinary transactions, such as mergers, demergers, joint ventureagreements, and real estatetransactions. He has extensive experience in transactions involving leading domestic and international private equityfunds, and has been involved in some of the most important dealsclosed in Italy in recent years. Francesco operates in the London and Milan offices and is also responsible for developing Legance’s relationships with India.

Giacomo Gitti specialises in M&A, private equity, venture capital, and real estateHe advises funds, financial institutions, and Italian and foreign industrial companies on extraordinary acquisition and/or reorganisation transactions and commercial contracts, as well as a focus on the energysector and start-ups.

Marco Iannò works in the London office and specialises in structured finance, NPLs, restructuring and cross-border lendingtransactions. He has assisted leading players in the Italian and international markets, gaining outstanding experience in the structuring of securitisation transactions with a particular focus on the innovative structures provided for by Law 130/1999 and on governance and servicing issues.

Monica Riva is Co-Head of the Intellectual Property Department and has significant experience in all aspects of industrial and intellectual property, including, in particular, trademarks, patents, know-how, designs, copyright, and unfair competition.

Monica assists domestic and international clients in drafting licensing, co-branding, technology transfer agreements, and agreements for the development of new IT and software platforms, as well as in litigation (interlocutory and substantive), in particular in the pharmaceutical, fashion and luxury, furniture, food and beverage, steel, and publishing sectors. 

Antonio Siciliano specialises in banking and finance law transactions (including corporate lending, leveraged, and acquisition finance), bond and other debt issues, securitisation of various asset classes, structured products and derivatives, assisting, among others, leading domestic and multinational players and financial institutions.

With regard to capital markets, which is Antonio’s main focus, he has been involved in several bond issues, including high yield bond issues, placed on the domestic and international markets, both on a stand-alonebasis and under an EMTN/GMTN programme, as part of public offerings and private placements, as well as mini-bondissues by small and medium-sized enterprises (also as part of financing programmes launched by banking groups and institutional investors, such as basket bonds), project bonds, and other financial debt instruments. Antonio was also involved in the structuring of the first green bonds and sustainability-linked bondsissued by Italian companies, as well as in several liability managementtransactions in the form of tender offers, exchange offers, intermediated exchange offers, and consent solicitation.

Simone Ambrogi has extensive experience in project financeand PPP (Public-Private Partnerships), with a specific focus on infrastructure and utilities, and the energysector in general, assisting sponsors, banks and institutional lenders in the most important deals of recent years. Simone covers all areas of project finance, has advised leading sponsorsand banks in major holdco financingsin the energy sector, and has gained broad experience in the hospital and infrastructure sectors. He is also regularly involved in the structuring of corporate governance, financing and concession contracts for companies operating in the integrated water and waste sectors, both with in-houseand mixed company structures, where he is recognised as one of the professionals of reference by operators and lenders.

Marialuisa Garavelli is an expert of litigation (in court and arbitration) in commercial, corporate, bankruptcy, and financial matters. She also provides assistance to companies involved in restructuring transactions, insolvency procedures, and debt restructuring agreements.

Valerio Mosca advises national and international clients in all areas of the telecommunications, media and new technologies sectors. In particular, his practice focuses on proceedings before administrative authorities (including Agcom and relevant Ministries), administrative and civil courts, as well as complianceand negotiation of agreements. Valerio also assists clients on a wide range of regulatory matters (authorisations, disputes between operators, imposition of regulatory obligations, etc.), including those involving complex and technical issues, e.g. in relation to frequencies, platforms, innovative services and networks. Valerio also has extensive experience in consumer protection and antitrustlaw, as well as in so-called golden power proceedings.

Giovanna Russo has assisted Italian and international companies, financial institutions and private equityfunds in major M&A transactions in the Italian market, including co-investment agreements, divestments, joint ventures andshareholders’ agreements, gaining broad experience in extraordinary transactions in general, including in case of corporate restructuring and reorganisation. Giovanna also has outstanding experience in drafting and negotiating domestic and international commercial contracts of various kinds, including supply, tender, distribution and service agreements, as well as in providing legal assistance in connection with the entire life cycle of legal entities under Italian law – from incorporation to liquidation, including capital increases, issuance of particular classes of shares and equity instruments – coordinating all formalities before the relevant authorities.

Valeria Viti has considerable experience in administrative and regulatory law at both European and Italian level, with a particular focus on the energy and infrastructure, natural resources and environmental sectors. Valeria assists companies, investment funds and credit institutions in connection with the development, acquisition and financing of energy and infrastructure projects.
