Extraordinary Transactions

Our Tax Law Department brings together professionals with extensive experience in tax issues related to extraordinary transactions, including private equity and venture capital investments, corporate M&A, capital markets operations, real estate and infrastructure/energy deals, domestic and cross-border corporate reorganisations, as well as executive incentive plans through, for example, carried interest structures.

We support clients throughout every phase of the transaction, offering specialist advice to ensure effective, compliant solutions. This includes initial structuring, tax due diligence on both the buy and sell side – often integrated with assessments aimed at securing W&I or specific tax insurance policies – and the review of tax-related contractual clauses.

We pay particular attention to the deductibility of transaction-related costs for income tax purposes and the recoverability of VAT, which is crucial for the proper fiscal management of any deal.

Our Tax Law Department also advises on mergers, demergers, spin-offs, and contributions, both domestically and across borders, including transactions involving foreign entities with holdings or branches in Italy, ensuring an integrated and comprehensive approach.
