Raffaella Zagaria has developed considerable expertise in administrative law, with a particular focus on public procurement, public services regulation and public-private partnership structures. She has extensive experience in assisting both private-sector clients and public authorities on a wide range of administrative-law matters, in both contentious proceedings before the administrative courts and non-contentious advisory work. Her practice encompasses, among others, advice on public tender procedures, concession arrangements, regulatory and authorisation issues arising in connection with major infrastructure projects, as well as administrative disputes. She regularly supports multidisciplinary teams on corporate transactions and project finance deals involving public-sector counterparties or assets subject to public-law constraints, covering all relevant public-law and regulatory aspects. Her experience in this field includes, among others, assisting Acea Ambiente, as part of a consortium, in the submission of a public-private partnership proposal on a project financing basis for the award of a concession for the design, construction and operation of a waste-to-energy plant in Rome (worth more than €1 billion), presented in response to an exploratory notice published by Roma Capitale, as well as in all activities following the award of the contract (e.g., signing of the contract, establishment of the SPV, drafting of shareholders’ agreements, submission of the performance bond, etc.); advising Cassa Depositi e Prestiti on all public-law aspects of the implementation of the “Fund for student housing”, financed with EUR 599 million under the Next Generation EU programme and managed by Cdp pursuant to a convention signed with the Ministry of University and Research within the framework of the National Recovery and Resilience Plan; assisting Engineering in the reorganisation of its healthcare business and the subsequent sale of Alfahealth to Accenture, covering the administrative-law profiles of the transaction; assisting Fincantieri Infrastructure S.p.A. (company of the Fincantieri Group) in the context of the public tender procedure launched by Anas S.p.A. for the construction of bridges and ancillary roadways, as well as improvements to the riverbanks along the Tevere, in which the company as participated as member of the temporary grouping of companies; assisting Lottoitalia S.r.l. (company of the IGT group) in connection with its participation in the tender launched by the Agenzia delle Dogane e dei Monopoli for the Lotto gaming concession (Lottoitalia was awarded the concession with a bid of more than €2 billion for a nine-year term).
