Our team combines specialist expertise in the structuring, establishment, and marketing of alternative investment funds, including private equity, venture capital, turnaround, infrastructure, real estate, and credit funds with in-depth knowledge of market dynamics and the needs of managers, investors, and other operators in the sector, both in Italy and abroad.

Advice on the structuring, establishment, and marketing both in Italy and abroad, of alternative investment schemes, in contractual and corporate form.

Assistance to institutional and non-institutional investors for investments in illiquid assets, whether direct (e.g. infrastructure, renewables, mezzanine finance, corporate debt) or indirect (e.g. funds of funds, master-feeder structures, co-investment vehicles).

Assistance in designing and negotiating incentive arrangements (carried interest), with integrated analysis of contractual, regulatory and tax aspects, tailored to managers, management teams, and investors.

Advice on fund restructuring and secondary market transactions promoted by asset managers.

Definition of governance frameworks, organisational structure, and internal control systems for asset managers, in line with regulatory standards and market best practices. This includes support in management team acquisitions and spin-offs.

Management of regulatory proceedings with supervisory authorities, including authorisation processes, inspections, queries, and compliance adjustments.
